JD.com Prices USD 1 Bln Notes Offering

Chinese B2C e-commerce platform operator and retail infrastructure service provider JD.com (Nasdaq: JD) today announced the pricing of its public offering of USD 1.0 bln aggregate principal amount of its notes. The public offering consists of USD 700 mln of 3.375% notes due 2030 and USD 300 mln of 4.125% notes due 2050. The notes have been registered under the U.S. Securities Act of 1933, as amended, and are expected to be listed on the Singapore Exchange Securities Trading Limited.

The company expects to receive net proceeds from the offering of approximately USD 988.3 mln, after deducting underwriting discounts and commissions and estimated offering expenses. The company intends to use the net proceeds from the offering for general corporate purposes and refinancing.
